This Terms of Use Agreement describes the terms and conditions on which American Technical Services, Inc., (“ATS”) offers you access to the websites, applications and services offered on the website (collectively, the “Services“). Please read these terms carefully because they constitute a legal agreement between you and ATS. By accessing and using the services, you agree that you have read and understand and agree to comply with these terms.

ATS does not warrant the accuracy or completeness of the content available at this site. ATS assumes no liability for your use of the Content and you hereby acknowledge that any reliance upon any content or materials or your use of the site shall be at your own risk.
- Software Downloadable
Software that is made available to download as content from the site is the copyrighted or licensed work of ATS. Use of the software is governed by the terms of the end user license agreement, if any, that accompanies or is included with the software. The software is made available for download solely for use by end users and strictly in accordance with the terms of the applicable license agreement. Any creation of derivative works, reproduction, redistribution, decompiling, reverse engineering, disassembly, or otherwise converting the software to a perceivable form not in accordance with the applicable license agreement is expressly prohibited, and may result in civil and criminal penalties.
- Limitation of Liability
ATS, its officers, employees, directors, agents, will not be liable for any direct, indirect, incidental, punitive, special, or consequential damages whatsoever; including, without limitation, those resulting from loss of use, lost data, business interruption, or lost profits or revenue, rising out of the use, inability to use, or the results of use of this site, or the materials or information or services contained at any or all such sites, whether based on warranty, contract, tort or any other legal or equitable theory and whether or not ATS has been advised of the possibility of such damages.
- Indemnity
User agrees to indemnify, defend, and hold harmless ATS, its officers, employees, directors, agents, suppliers, or any other party involved in providing the site, from and against any and all claims, suits, damages, costs, or other expenses, including reasonable attorney’s fees, that arise directly or indirectly from user’s (i) use of the site or the content, or (ii) breach of these terms of use.
- Version of Terms
ATS may make changes to these terms of use at any time without notice.
- Choice of Law
These terms and any claim relating to this site will be governed by and construed under the laws of the State of California.
- Arbitration
By using this site, you agree that ATS, at its sole discretion, may require you to submit any disputes arising from the use of this site, or these terms, including disputes arising from or concerning their interpretation, violation, nullity, invalidity, non-performance or termination, as well as disputes about filling gaps in this contract or its adaptation to newly arisen circumstances, to final and binding arbitration under the Commercial Rules of Arbitration of the American Arbitration Association, by one or more arbitrators appointed in accordance with the said rules. Notwithstanding these rules, however, such proceeding shall be governed by the laws of the State of California and any arbitration will be held in Los Angeles, California.
